Your LLC will need to be “renewed” annually.  This is largely an administrative function, but also an opportunity for you to update your LLC address or registered agent. One thing we often see business owners neglect is renewing their LLC. The state of Minnesota requires that all LLCs be renewed early before the publicly listed end date. Not doing so will cause your LLC to go “inactive”.

It’s a surprisingly simple process. Each year, you’ll receive an email like the example below. The email will explain when your company’s annual renewal is due and will provide your filing number, business name, and a link to the renewal.

You will need an online account in order to process your renewal, but setting one up only takes a few minutes. Go to (https://www.sos.state.mn.us/).  Go to the drop-down “Business and Liens” and then click the “Business Filings Online”. Click on “Create an Account” located in the upper right hand corner, enter your email address and a password of your choice, accept the terms and conditions and click “Create Online Account.” The renewal email you receive will have these instructions for your reference as well.

Once you’ve created your online account, you’ll be able to file your annual renewal. Under “Business Filings Online” click on “Business Name” or “File Number.” Enter either your Business Name or File Number, depending upon your choice. Next, click “File Amendment/Renewal.” Then, navigate to the “Amendments – Available for Filing” list and choose “Annual Renewal.” From there, continue to follow the prompts.

For reference, see the below email. Once you receive a similar email, you’ll know it’s time to renew your LLC. The best part is that this is all done for free, and you will not need to pay any additional fees. The filing fees will appear if you renew after your LLC becomes inactive, so it’s best practice to file your renewal as soon as you receive the email.

Your company’s annual renewal is due DECEMBER 31, 2021

Thank you for your continued business with the Office of the Minnesota Secretary of State.  Our records indicate that your company has not filed its 2021 annual renewal.

The fastest way to file the Annual Renewal is online using the MBLS system.  Filing online only takes five minutes.

You do not need to wait until December 31st to file this renewal.  The Annual Renewal can be filed anytime from now until December 31, 2021.

Beware of outside offers to file the renewal for you — business filings can be completed directly through the office by accessing the Office of the Minnesota Secretary of State’s online MBLS system.  Most renewals have no charge.

NOTE: The “Minnesota Business Snapshot” is a voluntary, quick five-question survey that’s now being offered to existing businesses in Minnesota as they file their annual renewal.  The answers are considered public data and there is no penalty if you choose not to participate, or to answer fewer than all five questions.

An Online Account is required to process all online filings.

After clicking on the “File Renewal” link and accessing the business record page, click on Sign In or Create an Account.

If you already have an account but cannot remember your password, from the Sign In page you may click on “Forgot your password?” to receive an email with a link to reset it.

To Create an account:

  1. Click on “Create an Account” located in the upper right-hand corner.
  2. Supply your email address and create a password.
  3. Accept the Terms and Conditions; then click “Create Online Account”.
  4. You will receive an email with a link to complete the process.

To file your Annual Business Renewal:

  1. Under “Business Filings Online”, click on “Business Name” or “File Number”.
  2. You may search for the business by Name or File Number.
  3. Click on “Details” to the right of the business name in the “Search Results”.
  4. Click on “File Amendment/Renewal” in the Record Detail page.
  5. Under “Amendments-Available for Filing”, click on “Annual Renewal – “; then follow the prompts.
